Board of Trustees

Composition

  1. Chairperson of the Committee for Vice Chancellors and Principals in Tanzania (CVCPT)
  2. Chairperson of Tanzania Association of Private Universities (TAPU)
  3. Representative of research institutions
  4. Representative of public colleges
  5. Representative of private colleges
  6. Permanent Secretary or his/her delegate from the ministry responsible for Education, Science and Technology;
  7. Permanent Secretary or his/her delegate from the ministry responsible for Works, Transport and Communications;
  8. Chief Executive Officer from Tanzania Communications Regulatory Authority (TCRA)
  9. Chief Executive Officer from Tanzania Commission for Science and Technology (COSTECH)

The following rules shall be observed in relation to the Board of Trustees’ functions and powers:

  •  The Board of Trustees shall be the highest policy and decision making body of TERNET subject to the provisions of the Trust Deed;
  • Subject to the provisions of the Trustees’ Incorporation Act [ Cap 318 [ R.E. 2002], any other applicable written law and the
    Constitution, the Board of Trustees shall be registered and governed by the provisions of the Trust Deed and Rules.
  • The Board of Trustees shall, in its name, hold and own in trust all the property of TERNET and ensure the preservation, maintenance,
    development and proper or intended charitable purposes and use of such property;
  • The Board of Trustees shall, through the Executive Secretary who shall also be the Secretary to the Board of Trustees, have the sole custody of
    the Common Seal of TERNET and shall have power to use the same in accordance with the provisions of the Trust Deed and the Constitution;
  • The Board of Trustees shall have power to require any person and any officer, office bearer, employee or agent of TERNET to produce for the
    Board’s use, inspection or, as the case may be, repossession any material, data, document or any other information in relation to or
    concerning the property of TERNET or any aspect thereof;
  • The Board of Trustees shall have power to formulate and propose major policy decisions for consideration by the Annual General Meeting;
  • The Board of Trustees shall have power to sue on behalf of and defend actions brought against TERNET in courts of law, arbitration and
    other alternative dispute resolution actions or proceedings and, in that behalf, to retain the services of legal counsel;
  • Subject to any applicable written law and the Constitution, in the pursuance of its objects, exercise of its powers and performance of its functions and exercise of its powers under the Trust Deed and the Constitution, the Board shall be independent of any other organ of TERNET;
  • For the avoidance of doubt, the budget of income and (capital and recurrent) expenditure of the Board shall be one and the same as that of
    TERNET and all administrative and general executive functions of the Board shall be executed through the Secretariat, the Executive Committee
    and the Annual General Meeting or any of the committees other than the Executive Committee in accordance with the provisions of the Trust
    Deed, Trust Rules and the Constitution. 
  • The Board of Trustees shall establish procedures for its own meetings.
